Responsibility Agreements

Based on Party B entrusting Party A to produce products in accordance with the design drawings and process requirements provided by Party B, in order to clarify the situation of responsibility, Party B hereby makes the following commitments to Party A:

鉴于乙方委托甲方按照乙方提供的设计图纸、工艺要求生产产品，为明确责任情况，乙方特向甲方作出承诺如下：

1. Product Responsibility 产品责任

1.1 Party B has confirmed that all design drawings, process requirements and product parameters are accurate prior to payment. Otherwise, any resulting printing errors are the sole responsibility of Party B.

乙方在付款前，已确认所有设计图纸、工艺要求、产品参数都准确无误。否则，因此产生的印刷错误为乙方全责。

1.2 Party B is the legal owner of the rights or the person authorised to use all information provided by Party B to Party A on its own, which contains trademarks, patents, copyrights, etc.

乙方自行向甲方所提供的所有资料，如含有商标、专利、著作权等内容，乙方均为合法的权利人或被授权许可使用人。

1.3 All design drawings and workmanship requirements provided by Party B to Party A on its own are owned by Party B or have been licensed for use.

乙方自行向甲方提供的所有设计图纸和工艺要求，均属于乙方所有或已经授权许可使用。

2. Intellectual Property Responsibility 知识产权责任

2.1 Party B confirms that the use of the design drawings and process requirements to produce the products are in accordance with the laws of the People's Republic of China and relevant international laws and regulations, and do not and will not infringe on the rights (including but not limited to ownership, intellectual property rights, etc.) of any other countries, regions and third parties or their authorized licensors.

乙方确认使用该设计图纸、工艺要求生产产品皆符合中华人民共和国法令及国际相关法令规定，不存在且将不可能侵犯其他任何国家、地区及第三方或其授权许可人权利（包括但不限于所有权、知识产权等）的情形。

2.2 If Party A incurs any losses (including but not limited to trademark infringement, third party claims, administrative penalties, attorney's fees, security fees, etc.) as a result of the performance of the contract, Party B will be deemed to be in fundamental breach of the contract and ultimately bear all legal responsibilities and compensate Party A in full for all losses.

若甲方因履行合同而产生任何损失（包括但不限于商标侵权、第三人索赔、行政处罚、律师费、保全费等）的，将视为乙方根本违约，乙方将最终承担所有法律责任，向甲方足额赔偿全部损失。

3. General Terms and Conditions 一般条款

3.1 The interpretation, validity, performance and other outstanding matters of this Agreement shall be governed by the laws of the People's Republic of China, and any dispute arising from this Agreement shall be resolved by mutual consultation between the parties, and if consultation fails, both parties agree that either party shall file a lawsuit with the People's Court where Party A is located.

本协议之解释、效力、履行及其他未尽事宜均依中华人民共和国法律为准，任何关于本协议产生的争议，由双方协商解决，协商不成的，双方同意任何一方均向甲方所在地人民法院起诉。

3.2 This agreement is automatically effective upon confirmation and ticking by Party B. The Chinese and English versions are consistent and legally valid.

本协议自乙方确认并勾选后自动生效，中英文版本一致，且具有法律效益。
